Welcome to Spixy, a platform owned and operated by Nexxuscore Global Solutions LLP (“we”, “our”, “us”). These Terms of Service (“Terms”) govern your registration as a Guest or Host and your access to and use of our platform, mobile application, and services (collectively, the “Platform”). By registering as a Guest or Host and accessing or using the Platform, you agree to these Terms.


1. Platform Overview & Services

1.1. Platform Services. Spixy is an online platform and technology intermediary that connects two distinct user roles:

  • Guests: Individuals seeking to reserve spaces and related services for creative, professional, or social activities.

  • Hosts: Independent individuals or businesses offering Spaces and optional add-on Services (e.g., equipment rental, catering) to Guests.

Spixy provides the Platform solely to enable discovery, communication, and transactions between Guests and Hosts. We do not own, lease, control, or endorse any Space, Host, or Host Service. All listings, availability, pricing, and descriptions are provided by Hosts.

1.2. No Endorsement or Warranty. Except as expressly stated, Spixy makes no representations or warranties about any Host, Space, or Service. We do not inspect, endorse, or guarantee the quality, safety, legality, or suitability of any listing or booking. Use of the Platform and any Services is at your sole risk.

1.3. Prohibited Uses. Certain activities are strictly forbidden, including but not limited to:

  • Using a Space for overnight accommodation, subletting, or any transient occupancy beyond the scope of the listed purpose.

  • Listing or booking a Space for unlawful, unsafe, or unsanctioned events (e.g., illegal gatherings, uncontrolled large-scale events).

1.4. Platform Modifications. Spixy may add, remove, or modify features of the Platform at its discretion. We will try to minimize disruption but are not liable for any impact on your use.


2. Eligibility, Account Registration & Communications

2.1. Eligibility. You must be at least 18 years old (or the legal age of majority in your jurisdiction) and legally capable of entering binding contracts.

2.2. Account Registration. You must create an account with accurate information and maintain updated contact details. You are fully responsible for all activity under your account and must keep your credentials confidential.

2.3. Identity Verification & Screening. We may, at our sole discretion, require identity verification (e.g., government ID, eKYC) or background screening for Hosts or Guests to reduce fraud and enhance safety.

2.4. Communications. By registering, you consent to receive transactional and marketing communications via email, SMS, in-app notifications, or telephone regarding your bookings, listings, and Platform updates. You may opt out of promotional messages but critical booking notices cannot be unsubscribed.

2.5. Content on the Platform.

  • 2.5.1. Posting Content. When creating or using the Platform, you may provide information about yourself, a Space, a Host Service, comments, or other information including text, images, or videos (collectively, “Content”). You represent and warrant that you are authorized to provide Content to the Platform and that any Content you provide does not violate the proprietary or privacy rights of a third party. You grant Spixy a fully-paid, worldwide, non-exclusive, perpetual license to use, copy, transmit, distribute, modify, publicly display, and sublicense any Content you provide to us. You agree to indemnify, defend and hold us harmless for any damages or losses based on third-party claims that your Content violates proprietary or privacy rights.

  • 2.5.2. Accuracy of Content. You will only provide Content to us that you own or have authorization to provide, and ensure that Content is accurate and complete. You must keep any Content current. We reserve the right, but shall not be obligated, to use public and private data sources to validate the accuracy of any Content. If you do not provide required Content to us when we request it, we may suspend or terminate your Account, cancel any Bookings, withhold payment, and/or impose Fines.

  • 2.5.3. Prohibited Content. You may never post any Content that (i) is defamatory, obscene, profane, or pornographic; (ii) is abusive, harassing, or disrespectful of other users; (iii) violates applicable Laws, including those prohibiting discrimination or false advertising; (iv) is intended to deceive or mislead; (v) contains marketing or promotional content unrelated to the details of a Space; or (vi) includes sensitive personal information. You will not knowingly provide any Content that contains viruses or other harmful content (“Viruses”).


3. User Roles, Obligations & Independent Relationships

3.1. Guest Obligations. As a Guest, you agree to:

  • Provide accurate booking details and payment information.

  • Comply with any Host rules, property-specific policies, and applicable laws.

  • Exercise due caution; do not complete or continue a booking if you feel unsafe or uncomfortable.

3.2. Terms Applicable to Guests.

  • 3.2.1. Bookings. Bookings are created when a Host accepts your booking request. Bookings constitute a legally binding agreement between you and a Host. Upon booking, you are granted a limited, temporary, revocable license to use a Space. Hosts may terminate a booking without refund if you materially misrepresent the event, breach terms, or endanger safety.

  • 3.2.2. Limited License. Your booking grants a license to enter, occupy, and use the Space only as described by the Host and confirmed in the booking. You do not receive a lease or any rights beyond the agreed timeframe.

  • 3.2.3. Conduct & Fees. You agree to abide by our Community Guidelines and all applicable Laws. You are responsible for your attendees’ behavior. You accept liability for any damage, legal violations, or fines incurred by you or your attendees. You must return the Space in its original condition.

  • 3.2.4. Holdovers & Additional Fees. You must vacate the Property by the end time. Overstays without Host permission may incur Overtime Charges, calculated in increments, plus Platform Service Fees.

  • 3.2.5. Alcoholic Beverages. By booking any Space involving alcohol, you represent you are of legal drinking age. Hosts must hold valid licenses and comply with all beverage laws.

  • 3.2.6. Attendees. You are responsible for the acts of your invitees (“Attendees”). Ensure Attendees meet Host requirements and are made aware of all rules.

3.3. Host Obligations. As a Host, you agree to:

  • 3.3.1. Listings. You must provide comprehensive and accurate details about your Space, including a clear description, amenities, rules, current photos, and any deficiencies or restrictions.

  • 3.3.2. Permission to List. You represent and warrant that you have full legal authority to list the Space and that it complies with all applicable Laws and third-party agreements (e.g., leases, HOA covenants).

  • 3.3.3. Booking Agreements. Bookings become a binding agreement upon your acceptance of a request. You agree to provide the Space and any included Services exactly as described.

  • 3.3.4. Booking Price. You are solely responsible for setting the Booking Price. You may not raise the price after a Guest accepts a booking.

  • 3.3.5. Conditions of the Space. You must ensure the Space and Amenities are safe, clean, and in good working order as described in your Listing.

  • 3.3.6. Recordings. Guests may photograph or record their events. Unless prohibited, you grant Guests a perpetual license to use recordings featuring the Space.

  • 3.3.7. Surveillance. You must disclose all surveillance equipment in your Listing. No cameras are allowed in private areas (e.g., bathrooms) unless required for commercial shoots with full disclosure.

  • 3.3.8. Preparation and Supervision. You are responsible for securing valuables, evaluating Guests, and monitoring Events. You may terminate a Booking without refund if a Guest materially breaches terms or endangers safety.

  • 3.3.9. Alcoholic Beverage Services. If you provide alcohol, you represent and warrant you hold all valid licenses and comply with all applicable beverage laws.

3.4. Independent Contractor Status. All Hosts operate as independent contractors and not as employees, agents, or representatives of Spixy. Similarly, Guests contract directly with Hosts; Spixy is not a party to any rental or service agreement.

3.5. Compliance with Law. You will comply with all applicable laws, regulations, and private agreements in connection with your use of the Platform. Spixy does not offer legal advice.

3.6. Contractual Disputes Between Users. Spixy is not a party to any contract formed between Guests and Hosts. We are not responsible for the condition of any Space or the quality of any Host Service. Spixy may, at its sole discretion, choose to intercede or offer mediation but is under no obligation to do so.

3.7. Non-Circumvention. Users shall not, directly or indirectly, circumvent the Platform by entering into transactions or agreements for Spaces or Host Services with any party introduced via Spixy (an “Introduced Party”) outside of the Platform. Violation of this clause is a material breach of these Terms and may result in account suspension and legal action.


4. Booking Process & Confirmations

4.1. Booking requests are sent to Hosts for approval.

4.2. Hosts have sole discretion to accept or decline requests.

4.3. Once a Host accepts, the booking is confirmed and cannot be modified, rescheduled, or canceled through the Platform by either party.


5. Cancellations & Refunds

5.1. Guest Cancellations (Pre-Acceptance). Guests may cancel an unconfirmed booking request and receive a 100% refund.

5.2. Post-Acceptance Cancellations. Once a Host has accepted a booking, neither Guests nor Hosts can cancel or modify the booking through the Platform. Any such request must be settled directly offline between the parties.

5.3. Host Non-Fulfillment. If a Host fails to fulfill a confirmed booking, the Guest will receive a 100% refund of the reservation amount from Spixy.


6. Fees, Payments & Settlement

6.1. Guests pay reservation fees (including platform fees and taxes) upfront through our integrated payment gateways.

6.2. Hosts receive payments directly from Guests (e.g., cash, UPI, card) upon service completion. Spixy does not handle Host payouts.

6.3. Coupon usage, discounts, and promotional codes are subject to Spixy’s sole discretion.


7. Insurance & Indemnification

7.1. Hosts must procure and maintain their own property, liability, and business insurance. Guests are encouraged to secure event or liability insurance as needed.

7.2. You will indemnify, defend, and hold harmless Spixy and its affiliates from any third-party claims arising out of or related to: (a) the use of any Space or Host Service; (b) any Content you submit; (c) your failure to comply with Laws or these Terms; (d) any bodily injury or property damage caused by you or your attendees; or (e) any fraud or misconduct by you.


8. Limitation of Liability

To the fullest extent permitted by law, Spixy shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or loss of profits or revenue, arising out of or relating to these Terms or your use of the Platform.


9. Dispute Resolution & Governing Law

Any dispute between a User and Spixy shall be resolved by binding arbitration in Bengaluru, India, under the Indian Arbitration and Conciliation Act. Disputes between Guests and Hosts shall be resolved directly offline.


10. Account Suspension & Termination

Spixy may suspend or terminate accounts, remove listings, or block access without notice for policy violations, fraud, or non-cooperation with verification requests.


11. Modifications to Terms

We may amend these Terms at any time. Your continued use of the Platform after changes are posted constitutes your acceptance.


12. Linked Policies and Agreement Scope

By using the Platform, you also agree to be bound by our linked policies, including the Host Policy, Booking & Payment Policy, Community Guidelines, and Privacy Policy.


13. Force Majeure

Spixy is not liable for failure or delay due to events beyond its reasonable control, including pandemics, natural disasters, strikes, or system failures (“Force Majeure”).


14. Assignment

You may not assign your rights under these Terms without our prior written consent. Spixy may assign these Terms at its discretion.


15. Entire Agreement; Interpretation

These Terms, together with any linked policies, constitute the entire agreement and supersede all prior negotiations.


16. Severability & Reformation

If any provision is found to be invalid or unenforceable, it shall be reformed to the minimum extent necessary or severed, without affecting the remaining terms.


17. Waiver

Failure to enforce any provision shall not constitute a waiver of that right.


18. No Third-Party Beneficiaries

These Terms confer no rights on third parties; only you and Spixy may enforce them.


19. Notices

You may send notices to [email protected]. Notices from Spixy are deemed effective one day after being sent via email.

If you do not agree with these Terms, please discontinue use of the Platform.
